SUBURBAN WOMAN'S CLUB OF AUGUSTA
ADOPTED FEBRUARY 19, 1992

ARTICLE I: NAME

The name of this club shall be the Suburban Woman's Club of Augusta and shall be a member of the Tenth District, Georgia Federation of Women's Clubs, the Georgia Federation of Women's Clubs and the General Federation of Women's Clubs.

ARTICLE II: OBJECT

The object shall be to strengthen and make effective programs in Departments of Conservation, Education, Home Life, International Affairs, Public Affairs, the Arts, and Tallulah Falls School.

ARTICLE III: MEMBERSHIP

Section 1. Any person living in the CSRA or directly interested in the objectives of Suburban Woman's Club of Augusta and a registered voter shall be eligible for membership.

Section 2. Charter Members: Those members who joined when the club was organized and who signed the original Bylaws. Active Members: Those Charter and Active members who pay dues and assume the responsibilities of the club. Sustaining Members: Those members who pay dues and support the club, but are unable to attend meetings on a regular basis due to business/employment, health problems, meeting conflicts with other volunteer or governmental organizations.

Section 3. All prospective members shall be invited to attend two meetings, complete application information and indicate desire to become members.

Section 4. Invitation for membership of potential new member shall be made by one active member acting as sponsor and signed by two other active members, with the application approved by the Executive Board. After approval, the Membership Chairman shall deliver an invitation to join the club.

Section 5. New members shall pay an Initiation fee of an amount approved by the club.

Section 6. Annual Dues in an amount approved by the club budget will be payable in January, delinquent after April 1st. If not paid, the member shall be automatically dropped from the membership roll after June 1st. A member whose dues are delinquent shall be notified by the Treasurer. The club's fiscal year will be January 1 through December 31. Dues and Ways and Means fund raising projects will cover the basic cost of officer's yearbooks, postage, dues to State, and District, speaker meals, and operating costs of the club as outlined in the club's annual budget. Unless otherwise specified, member and guest meals and special event costs will be paid by those attending.

Section 7. A member wishing to terminate her membership shall send her resignation to the Membership Chairman.

ARTICLE IV: OFFICERS

Section 1. The elective officers of this club shall be: President, First Vice President, Second Vice President, Third Vice President, Recording/Corresponding Secretary and Treasurer.

Section 2. Any dues paying active member in good standing will be eligible to serve as an officer.

Section 3. The appointive officer shall be the Parliamentarian.

Section 4. The elective officers and the appointed officer shall serve a two year term or until their successors are elected.

Section 5. Officers shall assume their two year term of office at the Annual Meeting in January of even numbered years.

Section 6. Officers shall be eligible to serve consecutive terms in the same office.

Section 7. The Executive Board will make provisions for removing members or officers who disrupt club operations.

ARTICLE V: NOMINATING COMMITTEE

Section 1. A nominating committee of three shall be elected in September of the odd year. Any member in good standing may serve on the nominating committee. The president shall appoint the Chairman.

Section 2. It shall be the duty of the committee to nominate one candidate for each office, obtain the consent of each nominee, and to submit this slate of officers at the October meeting. Additional nominations may be made from the floor with the consent of the nominee.

Section 3. The election shall be held in October of each odd year with installation in January of the following even year. The election shall be by voice vote. If there is more than one nominee for any office, voting for that office shall be by ballot.

Section 4. The annual meeting shall be in January in the even year. The new officers shall be installed and assume their duties immediately after the installation.

Section 5. In the event of a permanent vacancy in the office of President, the First Vice President shall move up. If the First Vice President wishes to remain in the office of First Vice President, the vacancy in the office of President shall be filled by the nominating committee for election by the club. Until the vacant office of President is filled, the First Vice President will perform the duties of President.

ARTICLE VI: DUTIES OF OFFICERS

Section 1. The President shall preside at all meetings of the club, Executive Board and Executive Committee. The President shall appoint the Parliamentarian, Historian, and all Chairmen of Departments and Committees and is to serve as an ex-officio member of all committees except the Nominating Committee.

Section 2. The First Vice President shall perform the duties of the President in her absence. She shall be chairman of membership and the official hostess at all club functions.

Section 3. The Second Vice President shall perform the duties of the first Vice President in her absence. She shall be Program Chairman and Dean of Departments.

Section 4. The Third Vice President shall perform the duties of the First and Second Vice Presidents in their absence. She shall be the Ways and Means Chairman and Finance Committee Chairman.

Section 5. The Recording/Corresponding Secretary shall keep the records of the club and all correspondence of value. She shall keep and read the accurate record of the proceedings of all meetings of the club. She shall furnish the President with a copy of the minutes prior to the next meeting. The minutes of the meeting and the record of attendance shall be kept in a notebook. The outgoing secretary shall furnish Georgia Federation of Women's Clubs with the names and addresses of all officers prior to the next meeting. She shall write all correspondence which the club requires. She shall present to the club all correspondence which is received for information purposes.

Section 6. The Treasurer is custodian of all funds of the club. She shall collect all dues, pay all bills by check when approved by the President, and give a monthly statement of account with copies to the President and Recording/Corresponding Secretary. She shall deposit funds in a bank approved by the Executive Board. She shall issue membership information when dues are paid and send out delinquent dues notices when needed. She shall keep an accurate list of members in good standing. She shall send District and State dues prior to November 1 of each year and pay dues on the same number of members to each. Her books shall be audited following change of Administration in January of even years.

Section 7. The Parliamentarian shall assist the President by giving advice on Parliamentary procedure between meetings and by answering parliamentary inquiries during meetings when requested to do so by the President.

Section 8. At the termination of office, each officer shall surrender all materials, books, and other supplies belonging to the club to her successor prior to the next meeting after installation of new officers.

ARTICLE VIII: EXECUTIVE COMMITTEE

Section 1. The Executive Committee shall be composed of the elective officers and the Parliamentarian.

Section 2. The Executive Committee shall meet when called by the President.

Section 3. The Executive Committee shall assist the President as needed and make recommendations to the Executive Board.

ARTICLE IX: EXECUTIVE BOARD

Section 1. The Executive Board shall be composed of the Elective officers, the Parliamentarian, Chairmen of Departments and Committees, and the immediate Past President.

Section 2. The Executive Board shall meet as scheduled by the President. The President may call meetings of the Executive Board. When deemed necessary to make emergency decisions for the club, the President's or Executive Board's decisions shall be ratified at the next scheduled club meeting. The number of members present shall constitute a quorum.

Section 3. The President, with input from the Executive Board shall make plans for the club and shall make recommendations to the club membership. They shall pass on membership applications. They shall review and update standing rules when needed.

Section 4. The Executive Board shall be subject to the orders of the club and none of its acts shall conflict with action taken by the club.

ARTICLE X: COMMITTEES, DEPARTMENTS AND DIVISIONS

Section 1. The club may have as many Standing and Special Committees as deemed necessary by the President or Executive Board.

Section 2. The club shall have as many departments and divisions as are necessary to meet the requirements of the club programs and projects. The club shall be guided by the program of work suggested by the Georgia Federation of Women's Clubs and the General Federation of Women's Clubs. No Club project shall be undertaken by any department or division without the approval of the President. No funding shall be spent or committed unless it is already a part of the annually approved or amended budget of the club, or approved by a two-thirds vote of the members present at any regular meeting.

Section 3. Other committees shall be appointed by the President as shall be necessary to carry on the work of the club.

Section 4. Committees and departments are authorized to adopt rules for the transaction of its business provided they do not conflict with the bylaws of the club.

Section 5. Departments may enter into projects for the purpose of raising money with the approval of the Ways and Means Chairman and the President, with all funds raised paid into the club treasury.

ARTICLE XI: PARLIAMENTARY AUTHORITY

Robert's Rules of Order Newly Revised shall govern this club in all cases in which they are not consistent with these bylaws.

ARTICLE XII: AMENDMENTS TO BYLAWS

These bylaws may be amended by a two-thirds vote of the members present at any regular meeting, provided that notice of the proposed changes was given at the previous regular meeting or sent to every member ten days prior to the meeting at which a vote on the amendment is to be taken.
